Terms of Service

These terms govern your access to and use of the ToolPlexer website, dashboard, API, CLI, MCP server, and related services.

1. Agreement

By creating an account, connecting a client, purchasing credits, or using ToolPlexer, you agree to these Terms of Service and our Privacy Policy. If you use ToolPlexer for an organization, you represent that you are authorized to accept these terms for that organization.

If you do not agree, do not use the service. “ToolPlexer,” “we,” and “us” mean the operator of the ToolPlexer service; “you” means the person or organization using it.

2. The service

ToolPlexer provides a software layer for discovering, routing, executing, and metering calls to third-party tools and providers. The catalog, schemas, prices, availability, routing behavior, and features may change over time. Some tools may be unavailable, unconfigured, experimental, or operated by third parties.

ToolPlexer does not guarantee that a particular provider will be selected, that a tool will be available, or that a result will be accurate, complete, timely, or fit for your purpose. You are responsible for reviewing a tool before using it and for checking important results.

3. Accounts and API keys

You must provide accurate account information and keep your login credentials and API keys secure. API keys are workspace credentials: treat them like passwords, do not commit them to source control, and do not share them publicly. You are responsible for activity performed with your account or keys.

Create separate keys where practical, use spending limits for automated workloads, and revoke a key immediately if you believe it has been exposed. We may suspend or revoke credentials that are compromised, misused, or used in a way that creates risk for the service or others.

4. Acceptable use

You may not use ToolPlexer to:

  • break the law, violate another party’s rights, or facilitate harm;
  • send malware, unsolicited bulk messages, or content intended to attack or disrupt systems;
  • bypass provider authentication, access controls, usage limits, or payment requirements;
  • probe, scrape, or access a service without the authorization required by that service;
  • use another person’s credentials, impersonate a person or organization, or misrepresent results;
  • reverse engineer, resell, or build a competing service from ToolPlexer except as allowed by law; or
  • interfere with the service, evade a suspension, or consume resources unreasonably.

You are responsible for obtaining all permissions, notices, consents, and licenses required for the inputs you submit and the actions you perform through a third-party tool.

5. Third-party providers

ToolPlexer may send your request to an upstream provider to fulfill it. That provider’s terms, privacy policy, pricing, limits, and acceptable-use rules may apply in addition to these terms. A provider may reject, modify, delay, or retain a request according to its own policies.

We are not responsible for third-party services or for losses caused by a provider’s output, downtime, policy, security practices, or changes. You must independently evaluate whether a tool is appropriate for your use case.

6. Credits, billing, and refunds

ToolPlexer uses a prepaid wallet for supported account payments. Before a paid run, we may hold an estimated amount and then settle the actual applicable charge. The dashboard or API may show prices, limits, holds, releases, and final costs. Provider and platform failures may result in no charge, but this is not guaranteed for every situation described outside the service.

Payments are processed by a third-party payment provider. You authorize charges for the credit packs or other paid features you select. Credits are for use with ToolPlexer, are not cash, and may not be transferred or resold. Refunds, reversals, disputes, and applicable consumer rights are handled according to the payment provider’s process and applicable law. We may deduct or recover credits associated with a reversed or fraudulent payment.

Prices and credit-pack options may change. A change does not alter a completed charge, but it may apply to future runs or purchases. You are responsible for monitoring automated workloads and wallet limits.

7. Your content and feedback

You retain your rights in content that you submit through ToolPlexer. You grant us the limited license needed to host, transmit, process, display, and otherwise use that content to provide, secure, support, and improve the service and to comply with law. You represent that you have the rights and permissions needed to grant this license.

If you send suggestions or feedback, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission.

8. Intellectual property

ToolPlexer and its software, branding, documentation, design, and underlying technology belong to us or our licensors. Except for the limited right to use the service under these terms, no rights are transferred to you. You may not remove proprietary notices or use our marks without permission.

9. Availability and disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Do not use ToolPlexer or a tool result as the sole basis for decisions involving safety, health, legal rights, finances, employment, or other high-impact outcomes without qualified human review.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLPLEXER AND ITS PROVIDERS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TOOLPLEXER FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. These limits do not apply where the law does not allow them, including certain consumer, privacy, or intentional-misconduct claims.

11. Suspension and termination

You may stop using ToolPlexer at any time. We may suspend, restrict, or terminate access if you violate these terms, create risk, fail to pay, misuse a provider, or if we need to protect the service or comply with law. We may also discontinue the service or a feature with reasonable notice where practical.

Provisions that should reasonably survive termination—including payment obligations, ownership, disclaimers, limitations of liability, and dispute-related terms—will survive.

12. Changes and general terms

We may update these terms as the service changes. We will update the date above and, when changes are material, provide additional notice where appropriate. Continued use after an update means you accept the revised terms.

You may not assign these terms without our consent. We may assign them as part of a merger, acquisition, reorganization, or sale of assets. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These terms and the Privacy Policy are the entire agreement about the service, except for written terms we expressly provide for a particular feature or plan.
